1. General
All offers, orders and supplies take place exclusively in accordance with our Terms and Conditions. The final contract is in german. In exceptional cases, also in English. Any divergence must be confirmed by us in writing. Divergent regulations in terms of business with our buyer/principal are herewith contradicted.

2. Colour and Size specification
The colour and size specification published by us in our catalogue, home page, etc. and also attached as label on the items are not subject to any norm. Conclusions on certain sizes or general-valid colour images accounting on this information are not possible and do not justify objections.

3. Copyright and other trademark rights
Considerations of any copyrights as well as trademark rights, laws and regulations by placing an order will be the buyer's/principal's own responsibility. The buyer/principal takes over the full liability and releases the MAPROM GMBH from all claims of thirds, in particular from claims related to competitors and copyrights. MAPROM's GmbH copyright for drafts, designs, sketches and so on entitles entirely only MAPROM GMBH.

4. Retention of title
All deliveries occur under retention of title. The delivered items remain the seller's property until the buyer has settled the entire purchase price and fulfilled all liabilities and demands against him. The buyer is entitled to sell the items in a normal course of business. When reselling the goods, the buyer shall make the passing of the title subject to full payment of the goods by his customers. The buyer is authorised and obligated to collect the outstanding debits as long as the seller does not revoke this authorisation. The buyer's retention of title expires without explicit explanation of the seller if the buyer stops his payments. The seller shall not make use from his collection power, as long as the buyer follows his liabilities properly

5. Rights in the event of defects (liability for defects)
Defects of a part of the delivery do not entitle to the objection of the whole delivery. Complaints do not entitle to the restraint of payments. Decisive for the quality of the goods delivered by us are the values provided by the confirmation samples which are presented to its release. Unimportant divergence in the quality and the distribution of the item we reserve ourselves, if because of raw material or technical reasons they are unavoidable. If the complaint is justified, we arise for the mistakes after our choice by repair of the item, replacement or credit note. Demands to change the purchase agreement or reduction of the purchase price as well as demands on compensation regardless of which legal ground are excluded. This applies also to damages, in particular to people, property and operational disturbances. We do not take over any responsibility for our consultation. The customer is not released to take his own checks and tries under his own responsibility.

6. Order in our Online-Shop
You can set an order in our shop if you:

1. add articles on your shopping card
2. registered at the latest when entering the basket
3. enter delivery information (possibly a different delivery address)
4. enter  payment information
5. enter the order on the ordercheck page with a click on the button "order"

There is no minimum order value.

7. Prices
All prices include, without that you are logged on the value added tax of 19%. After a successful registration you will receive net price plus 19% value-added tax. If the value of goods is less than 50,- Euro net (59,50 EUR include 19% MwSt.) we charge a surcharge of 4,80 EUR for the less-quantity per order.
In addition, the shipping costs, which we calculated depending on weight. The prices are exclusiv packaging costs. An overview of the shipping can be found in our  delivery costs table. There are the prices at the time of the order.
Duration of temporary job to learn each where they are displayed in the shop. Despite careful storage, it may happen that an action items sold out faster than anticipated or out. We therefore do not guarantee delivery. " It is while stocks last. "

In specific countrys there are customs duties.

In the case of delivery delays, we will immediately inform you.

In case of non-availability of the goods ordered, we reserve the right not to deliver. In this case we will immediately inform you and already received compensation immediately returned (if you received a delivery confirmation by MAPROM GmbH).

10. Export
Worldwide delivery. All business and sales abroad are subject to and based on these Terms and Conditions. Exclusively German right decides on all rights from this contractual relationship. For the case that we must seize abroad judicial measures to put through the fulfilment of our contractual claims the buyer commits himself to the take over and the payment of all judicial and extrajudicial costs plus lawyer's fees. By placing an order, the customer abroad recognises these conditions and they count as agreed.

11. Payment terms
The date of delivery accounts as the invoice date. Normal payment terms are 30 days net-payment. We reserve to ourselves to carry out a credit history investigation by Schufa, Creditreform or another information source. It is further left to us whether to deliver by cash on delivery, cash in advance or other payment procedures agreed with the customer instead of the usual payment conditions.

12. Delayed Payment
Delayed Payments will be charged with a overdue fine of € 10,00 per reminder and moratory interests of 10 % p. a. If after the reminder the payment still remains unsettled within the allowed period, then all outstanding accounts of the customer become immediately due. The outstanding accounts will be handed over to a collection enterprise. The customer will be charged with the thereby arising further costs.

13. Treaty provisions
You enter a binding offer, in the online ordering process by entering the requested information and gone through in the last Order step and click the button "Order".
Once you have submitted your order, we'll send you an e-mail, the receipt of your order with us and confirmed the details performs. This acknowledgement is not an acceptance of your offer, but is only to inform you that your order is received. The purchase contract starts by sending an order confirmation. At least until the delivery of the goods you will receive all customer information for your records.

14. Place of jurisdiction
Place of jurisdiction even for certificate and change letter legal proceeding is the city of Höxter. Furthermore we are entitled to sue the buyer at any other legally certified area of jurisdiction.

15. Severability clause
Should any clause in these General Conditions and Terms of Sale and Delivery be or become invalid, this shall not affect the validity of the remaining clauses or remaining parts of the clause concerned. Any invalid clause or arrangement shall be replaced by a respective legal regulation.
